ZAPTECH FOMS-DESKTOP SOFTWARE LICENSE AGREEMENT & TERMS

Thank you for choosing ZAPTECH FULL OFFICE MANAGEMENT SOFTWARE (FOMS-Desktop, HEREINAFTER CALLED "FOMS-Desktop" OR "Software". Your use of the FOMS-Desktop Software is governed by the terms and conditions of this ZAPTECH FOMS-DESKTOP LICENSE AGREEMENT.
This is an agreement between you and Zaptech Software Lab Limited, a company registered with New Zealand companies Office, having its headquarters at Suite B, 39 East Tamaki Road, Papatoetoe, Auckland, New Zealand.

By registering to install and use the FOMS-Desktop Software you acknowledge that You have read and understood these terms and have the authority to act on behalf of any person for whom you are using the FOMS-Desktop Software. You are deemed to have agreed to these Terms on behalf of any individual, company or entity for whom you use the Software.

DEFINITIONS

  1. FOMS-DESKTOP/SOFTWARE
    1. FOMS-DESKTOP/Software means the Full Office (Business Management) Software provided to you for installation on your licensed computer by Zaptech Software Lab Limited on payment of one time license fee for your licensed devices to the individual or entity that has subscribed for this Software by registering for a license plan including Free Trial plan on Zaptech Website.
    2. Zaptech may or may not provide any updated version of this software at its sole discretion. All upgrades to this software will be at a price to be fixed by Zaptech at it's sole discretion.
  2. FOMS-DEKSTOP INSTALLATION
    1. Means that FOMS-Desktop Software that you download to your computer from Zaptech Website (www.zaptech.co.nz) after registering on the Website and install on your computer.
    2. FOMS-Desktop software is not accessible through Zaptech Website. It's an on computer/on-premises desktop software which is installed and runs on your computer which must have latest Windows Operating System installed on it.
  3. WEBSITE
    1. Means the Internet Website with the domain www.zaptech.co.nz and www.fomscloud.co.nz or any other Website operated by Zaptech Software Lab Limited.
  4. DATA
    1. Means any data inputted, entered or uploaded by You or by your authorised user or employee into the FOMS-Desktop Software.
    2. All data inputted, entered or uploaded by You or by your authorised user or employee into the FOMS-Desktop Software remains on your computer. No such data is uploaded to Zaptech Servers or cloud.
  5. FILES
    1. Means any files of any type that are uploaded by You or by your authorised user or employee into the FOMS-Desktop Software and remains only on your computer.
  6. ZAPTECH
    1. Means Zaptech Software Lab Limited, incorporated with the New Zealand Companies office with its registered office at 39 East Tamaki Road, Papatoetoe, Auckland, New Zealand and all current and future global subsidiaries of Zaptech Software Lab Limited.
  7. LICENSED SUBSCRIBER
    1. Means the individual or entity who first registers on Zaptech Website to subscribe to a FOMS-Desktop Life time user license plan, and, includes subscriber's authorised staff, employees and users.
  8. LICENSE PLAN FEE
    1. Means the one time license fee for lifetime use of FOMS-Desktop Software as per the license plan chosen by You in accordance with the different License plans set out on the pricing page of the FOMS-Desktop Website. Zaptech reserves the right to change the License Plan fee from time to time at it's sole discretion.
  1. How can I use the software that is provided as part of the service (Software as a Service- SaaS)?

    2. We do not sell our FOMS-Desktop software or your copy of it - we only license it under lifetime User License plans with one time payment for different number of computers depending upon which license plan you have chosen. Zaptech's FOMS-Desktop software is for use by Zaptech clients on "Software as a Service" (SaaS) basis. You don't become FOMS-Desktop owner, you just have the right to use the software for indefinite period for life subject to one time payment for the software for a particular device only.

    Under this license agreement we grant you the right to install and run that one copy of the software on one licensed device/computer (the first licensed device) for use by the person or entity registered first at our website, but only if you comply with all the terms of this agreement. The user whose Zaptech/FOMS account is associated with the software license for the first licensed device is the "licensed subscriber." Provided that you comply with all the terms of this agreement and subject to the computers/devices allowed to you under your subscribed license plan, you may install and run copies of the software on only on the licensed devices allowed under your license terms (including on the first licensed device) as per following License plans restrictions of devices:

    1. One Computer FOMS-Desktop Lifetime User License:

      2. You can install on ONLY ONE Computer or Laptop, for use only by owners & staff/employees of the licensed subscriber.

    2. Three Computer FOMS-Desktop Lifetime User License:

      3. You can install on ONLY THREE Computers or Laptops, for use only by owners & staff/employees of the licensed subscriber.

    3. Five Computer FOMS-Desktop Lifetime User License:

      4. You can install on ONLY FIVE Computers or Laptops, for use only by owners & staff/employees of the licensed subscriber.

    Only owners & staff/employees of licensed subscriber may use the software on each licensed device. The service/software may only be used for the businesses of the licensed subscriber. The components of the software are licensed as a single unit, and you may not separate or virtualize the components and install them on different devices. Except for the permitted use described under "Remote Access" below, this license is for direct use of the software only through the input mechanisms of the licensed device, such as a keyboard, mouse, or touchscreen. It does not give permission for installation of the software on a server or for use by or through other unlicensed devices connected to the server over an internal or external network. The software also is not licensed for commercial hosting. For more information on multiple user scenarios and virtualization, see the Additional Terms.

  2. How long can I use the FOMS-Desktop software?

    3. You can use the FOMS-Desktop Software for life time use/for indefinite period, but only on the licensed number of device(s) as per the license plan purchased by you.

  3. Do I need to make repeated payments for use of FOMS-Desktop software?

    4. No, You only need to make one time payment for life time use of FOMS-Desktop software on your licensed device(s). You need to make a single payment for buying FOMS-Desktop Software user license as per different license plans mentioned on Zaptech FOMS-Desktop Website.

  4. Can I assign or transfer the FOMS-Desktop software to another device or user?

    5. License transfers to a new user are not permitted, however you may assign the software license to another DEVICE in accordance with the above installation and user rights. You have to remove your old device from your account on Zaptech Website before installing it on a new device. Anytime you assign the software license to a new device, the software will no longer run on the prior device. You can install software on only those number of devices which your subscription plan permits.

  5. Support

    6. FOMS-Desktop Software comes with one year limited Email support only.

  6. Declaration of No Warranty

    7. Zaptech gives no warranty about the Foms-Desktop software and does not warrant that the Software will meet Your specific or all requirements or that it will be suitable for your any particular purpose. Please be aware that all implied conditions or warranties are excluded in so far as is permitted by law, including (without limitation) warranties of merchantability, fitness for purpose, title and non-infringement.

  7. Limitation of Consumer Guarantees

    8. You hereby agree and warrant that You are acquiring the right to use FOMS-Desktop Software for the purposes of a business and that, to the maximum extent permitted by law, any statutory consumer guarantees or legislation intended to protect non-business consumers in any jurisdiction does not apply to the supply of the Software or Services, the Website or these Terms.

  8. Free Trial Evaluation

    9. You hereby confirm and warrant that you have evaluated FOMS-Desktop's Free Trial and consider it fit for your purposes and you acknowledge and agree that you can not claim refund of any license fee paid on account of Services/Software not meeting your requirements.

  9. No License Fee Refund

    10. You hereby agree and warrant that You have used Free trial of FOMS-Desktop software on your computer and have bought the license only after its satisfactory working on your computer. Zaptech will not provide any refund of license fee in the event of software not meeting your requirements, any functions not working on your computer which were also not working during the trial of the software or cancellation/termination of this agreement by you for any reason.

  10. Exclusions and Limitation of our Liability
    1. To the maximum extent permitted by applicable law, Zaptech excludes all liabilities and responsibilities to You (or any other person) in contract, tort (including negligence), or otherwise, for any loss or damage (including loss of data, files, information, sales & profits) or damage to your computer/devices or business resulting, directly or indirectly, from any use of, or reliance on, the FOMS-Desktop Software or Website.
    2. In the event where You are not satisfied with the FOMS-Desktop Software, Your sole and exclusive remedy is to terminate this agreement by stopping to use it and un-installing FOMS-Dekstop Software from your computer. Zaptech shall not be responsible for making any refund of your license fee paid for the use of the software.
    3. You agree that you have first successfully tried for free the FOMS-Desktop Software on your computer by registering for free trial and downloading & installing the FOMS-Desktop software on your computer and only after that you have bought the FOMS-Desktop lifetime user license. If later on you are not satisfied with the performance of the Software, you can not claim and Zaptech will not refund the license fee paid by you.
    4. You agree that Zaptech does not warrant that the use of the FOMS-Desktop Software or Website will be uninterrupted or error free. Among other things, the operation and running of the Software depends on number of other hardware and software pre-installed on your computer by your computer manufacturer or by you and any change or any error in those hardware or software may lead to non-functioning of the FOMS-Desktop software for which Zaptech is not liable or responsible in any manner whatsoever.
    5. You agree that it is Your sole responsibility to determine that the Software meet the needs of Your business and is suitable for the purposes for which it is used.
    6. It is Your responsibility to check that storage of and access to your information and Data via the Software and the Website will comply with laws applicable to you (including any laws requiring you to retain records).
    7. You agree that the provision of, access to, and use of, the FOMS-Desktop Software is on an "as is " basis and at Your own risk.
    8. If for any reason, you are not able to use the software for any period of time, Zaptech will not be responsible or liable for any loss you may suffer for non-functioning of the software.
    9. LOSS OF YOUR DATA: You must maintain backup/copies of all Data, information and files inputted/uploaded into the FOMS-Desktop Software. All data, information and files that you input or upload in the Software remains on your computer and Zaptech has no access of such data. The database and files are saved in your computer and you are solely responsible for taking regular backups of your files and database and their security. FOMS-Desktop Software adheres to best practices and procedures to prevent data loss, but Zaptech does not make any guarantees that there will be no loss of Data/Files. Zaptech expressly excludes liability for any loss of Your Data, information and files no matter how caused.
    10. Zaptech will also not be liable for any of the following:
      1. Loss or damage resulting from the software not being used properly by you or for any other technical or other reason;
      2. Loss or damage resulting from the deletion of your data from your devices/computers before or after installation/un-installation of the Software, or any costs and expenses associated with their reconstruction;
      3. Loss or damage resulting from the deletion of your data from your devices/computers because of your own action of using the software or data or file deletion functions in the software by your ignorance or by you by mistake, or any costs and expenses associated with their reconstruction;
      4. Indirect or consequential loss or damage;
      5. Loss or damage of or to reputation, goodwill, business, revenue, profit or expected savings;
      6. Loss or damage of or to any software or data (including your content and your projects) which you could reasonably have avoided by making a backup copy of it;
      7. Any fine, penalty, tax or other levy imposed on you or another user by any court, tribunal or regulator in connection with your content or misuse of our software;
    11. Limitation of our total liability: Our total aggregate liability in respect of all loss, damage, costs and expenses resulting from, arising out of, or relating to your use of the Software or your agreement with us is limited to your total paid license fee for the software.
  11. Ownership & Location of Storage of your Files/Data
    1. All Intellectual Property Rights & ownership rights in, your Files & Data remain Your property, but You hereby agree that Your access to the Data & files through the Software is contingent on your adherence to the terms of this agreement.
    2. The FOMS-Desktop Software might have features of integration with third party services/utilities/applications like Microsoft Word, Outlook, etc and those features and functions will work only if the latest licensed versions of those third party software, applications are installed on your computer and are compatible with the FOMS-Desktop Software.
    3. All Software Data and files and all data and files that you input into the software and the Software database are only stored in your computer. Zaptech has no control or access of the software or the data and files, except for the information relating to your activation of Software License and validation and verification of the software being installed on licensed devices. You hereby agree to maintain your own backup/copies of all Data and files inputted/uploaded by you into the Software. Zaptech does not make any guarantees that there will be no loss of Data/Files. Zaptech expressly excludes liability for any loss of Data/Files no matter how caused.
    4. You hereby warranty and agree that you will not upload any files or data into the Software which is not yours, you will be solely responsible for any files or data piracy for the files and data uploaded into Software and hereby undertake to fully indemnify Zaptech for breach of any anti-piracy laws relating to the data/files uploaded into the Software.
    5. You hereby acknowledge that Zaptech FOMS-Desktop Software is installed and hosted on your computer and Zaptech have no control over the running and data of the software.
    6. You hereby acknowledge that the working of the Software is dependent on various third party computer hardware and software, applications and operating systems like Windows operating system, Microsoft .NET Platform, Microsoft SQL Server, Your Email provider, Microsoft Word, outlook, etc. You hereby agree that Zaptech neither guarantees nor takes any responsibility for the un-interrupted and efficient working of third party software/hardware or any change or any updations in those software/hardware and consequential interruptions/non-functioning in the FOMS-Desktop Software.
    7. You hereby acknowledge that you are aware that when you un-install the FOMS-Desktop Software from your computer, the database file of the software is also permanently removed/deleted. You can make a copy/backup of the database file before un-installing FOMS-Desktop. However, in such case you will require some suitable third party software to access the database file.
    8. You acknowledge that the database file of the software is saved on your computer and can also be accessed by any person who has access to your computer by using third party software like Microsoft SQL Server Management Studio. Keeping your computer and database files secured is your sole responsibility.
  12. E-Mail function and restrictions
    1. You acknowledge that the E-Mail function of the Software will require it's proper setup with your email provider like Gmail, Yahoo or any other web server. Every email provider has its own configurations and permissions levels and it is your responsibility to insert the correct e-mail configurations provided by your email provider into the software. Its working depends on the services and permissions provided by your email provider.
    2. You hereby agree only to use Email application in the FOMS-Desktop Software for lawful and legitimate purposes. You must not use any such Software tool for posting or disseminating any material unrelated to the use of your business, including but not limited to unsolicited commercial e-mails, files that may damage any other person's computing devices or software, content that may be offensive to any person, or material in violation of any law, including material that is protected by copyright or trade secrets which You do not have the right to use.
    3. You hereby acknowledge that whenever You use email tools in the Services, You undertake that You are permitted to make such communications.
    4. You hereby agree that Zaptech is under no obligation to ensure that the communications on and through FOMS-Desktop Software are legal or does not breach any law or that they are related only to the use of the Software. You hereby undertake to exercise extreme caution when using the communication applications of FOMS-Desktop Software.
  13. Notification and chatting functions of software
    1. You acknowledge that the Notification & chatting functions of the software will only work on the licensed computers under your Licensed plan. These computers will be able to perform notification & chatting functions only if they are connected in a local area network or wide area network through a single common database hosted on an on premise or cloud SQL Server Service.
    2. These functions will work only if all computers are linked to an integrated network and share same database file hosted on a SQL database Server and which is again hosted on a Windows server which can be accessed by all computers simultaneously.
    3. The Server setup, hosting of SQL Server database and office networking of your computers is your responsibility, which can only be done by an IT networking professional. Zaptech bears no responsibility for setting up of your network and server.
  14. How does Internet activation work?

    15. Activation associates the use of the software with a specific device and specific subscribed user account. Activation is required for each licensed device to which a software license is assigned. During activation, the software will automatically contact Zaptech Software Lab or its affiliate to confirm that the license is associated with the licensed device. Because activation is meant to identify unauthorized changes to the licensing or activation functions of the software, and to otherwise prevent unlicensed use of the software, you have no right to use the service and software after the time permitted for activation and you may not bypass or circumvent activation.

    Does the software collect my device information? Yes, some features relating to activation & registration of the software may connect to Zaptech or service provider computer systems to send or receive information relating to your hardware specifications and user's personal details for user and device validation and verification. You may not always receive a separate notice when they connect. If you use FOMS-Desktop software, you agree to send or receive this information. If you do not agree to this term, you may not install and may not use the software.

  15. Does the software collect my personal information?

    16. Yes, when you register on Zaptech's Website, we collect your personal information like your username, password, your machine/computer id, your IP address, etc. For details on all the information we collect and our privacy policy and what we do with your personal information, you must see our privacy policy on Zaptech Website which forms an integral part of this license agreement. You hereby agree and acknowledge that the Zaptech Privacy Policy as provided in its Website is a part of this license agreement and you accept it and agree to abide by it. If You do not accept the terms of Zaptech Privacy Policy then you may not use or buy FOMS-Desktop Software or any other Zaptech Services or producrs.

  16. How do we use your information?

    17. Zaptech uses the information it collects through the service and software features to upgrade or fix the service and software, verify the activation & licensing features and otherwise personalize the user experience or improve our products and services. We may use this information we collect to identify and contact you. In certain circumstances, we also share it with others to improve our products and services. For example, we share error reports with relevant hardware and software vendors, so that they can use the information to improve how their products run with Zaptech products. You agree that we may use and disclose the information as required solely for the purpose of the software's working. Zaptech do not access or collect any of your data in the software on your computer, except where you yourself choose to upload your data on Zaptech's cloud/Website.

  17. ADDITIONAL TERMS
    1. LICENSE RIGHTS AND MULTI USER SCENARIOS
      1. Device. In this agreement, "device" means a computer hardware system (whether physical or virtual) with a storage device or a mobile device capable of running the software. A hardware partition or blade is considered to be a device.
      2. Multiple or pooled connections. You may not use hardware or software to multiplex or pool connections, or otherwise allow multiple unlicensed devices or multiple unlicensed computers to access or use the software indirectly through the licensed device. However, you can use the software in local/wifi networking & SqL Server networking, but only on licensed devices. No unlicensed device should be connected to any type of server or otherwise any other networking for using this software.
      3. Use in a virtualized environment. This license allows you to install only one copy of the software for use on each licensed device permitted under the installation and use rights above, whether that device is physical or virtual. If you want to virtualize the software to use single licensed device on multiple devices, you must obtain separate copies of the software and a separate license for each copy. Content protected by digital rights management technology or other full-volume disk drive encryption technology may be less secure in a virtualized environment.
      4. Multiple Businesses & Multiple Users: The licensed subscriber may access and use the software installed only on the licensed device for any of his businesses & can open as many accounts as he wishes in the software installed on licensed device & can let it be used by his any number of employees only on licensed device(s), as long as the software is installed on the licensed device(s) only.
    2. ACTIVATION
      1. More on how activation works. During activation, the software will send information about the software and your device to Zaptech. This information includes the license version and product key of the software, the Internet protocol address of the device, and information derived from the hardware configuration of the device. If the licensed device is connected to the Internet, the software will automatically connect to Zaptech for activation. You can activate the l;ifw time use of the software if you have purchased a license by clicking on the relevant button in the software.
      2. Re-activation. Some changes to your device components or the software may require re-activation of the software.
      3. Activation failure. During online or local activation, if the licensing or activation functions of the software are found to be counterfeit or improperly licensed, activation will fail. The software will notify you if the installed copy of the software is improperly licensed. In addition, you will receive reminders to obtain a properly licensed copy of the software.
    3. ADDITIONAL LICENSING RESTRICTIONS, REQUIREMENTS AND/OR USE RIGHTS
      1. Third Party Programs. The software may include third party programs that Zaptech, not the third party, licenses to you under this agreement. Notices, if any, for the third party program are included for your information only.
      2. Trial and Conversion. Some or all of the service/software may be licensed on a trial basis. Your rights to use trial service/software are limited to the trial period. The trial service/software and length of the trial subscription are set forth during the activation process. You may have the option to convert your trial rights to subscription rights. Conversion options will be presented to you at the expiration of your trial period. After the expiration of any trial period without conversion, most features of the trial service/software will stop running.
      3. Except to the extent that any such term is to be treated as being included by virtue of the Consumer Protection Act and cannot be excluded, it is not a term of your agreement with us that the software is of satisfactory quality or has any functionality that is not described in the product description, or that we will correct any defects in the software or develop it further.
      4. Subject to the Consumer Protection Act, we may remove any functionality from the software without providing any reason or warning.
      5. We warrant that we have exercised reasonable care and reasonable skill in creating the software, and that we will provide our services with reasonable care and reasonable skill, but it is not a term of your agreement with us that we will achieve any particular outcome.
      6. This software may require the installation of other windows software like SQL Server, .NET framework & local area networking on your all devices for this software to work fully with all features as described in our website.
      7. You will need an active Zaptech account to use this software with a paid license plan.
      8. Subject to these terms and your compliance with them, you may use the software in accordance with these terms. You may not use the software otherwise and you agree not to do so.
      9. You may only use the software within the scope of your license plan as it is described on our website.
      10. You must ensure that the number of your devices/computers does not exceed the number permitted by your license purchase by you and that each of your devices: are used for your works; each of your staff has read and accepted these terms; uses the software only on your behalf; complies with our acceptable use policy and the special copyright acknowledgement and license terms; has agreed that we may use information about him in accordance with our privacy policy.
      11. Unless and until you tell us that you believe someone is using the software through your software account without your permission, anyone using it through your software account is deemed to be one of your users and you will be liable for that use. This does not apply if that person does not work for you and did not acquire your software account username or password through you, your authorised users or anyone who works for you, but it is for you to prove that this is the case.
      12. You may not charge anyone for using the software and allow only your staff to use the software except for the purposes of your businesses.
      13. Once you close your account or terminate this agreement or breach any terms of this agreement or un-installs the software:
        1. You will not be able to use the software, your database & other files & information will remain in your computer/device but you will not be able to access them through this software. However, you may be able to access them through any third party software that you may have have or might purchase;
        2. We may retain any of your data/information which are on our system for as long as we wish;
        3. We may permanently delete any of your data/information from our system without warning.
      14. You must not use the software in connection with any offence, libel or slander, or in any way that is unlawful, unreasonably causes any person distress or offence, or brings our name into disrepute.
      15. You must not modify the software in any way, combine it with any other software, or give any indication that it is anything other than a software that has been created and distributed by Zaptech.
      16. You will not acquire any title, right, or interest to or in the software, all of which are retained by us.
      17. Technical protection measures: The software and the intellectual property in it are protected by technical measures to prevent unauthorised use and you agree not to remove or circumvent any of these.
      18. Indemnity

        You agree to indemnify us in respect of all loss, damage, costs and expenses which we suffer or incur as a consequence of your breach of these terms. Your liability for our costs and expenses under this indemnity is to be assessed on the court's "indemnity basis" rather than the "standard basis", and you are liable to pay them under this indemnity even if you would not otherwise be liable for costs and expenses (including by reason of the allocation of the case to the court's small claims or fast track).

      19. We may close your software account

        If any of the following events occur we may, at our absolute discretion, close your software account and prevent your use of the software or your projects without any liability to you:

        1. If you fail to pay any monies due under these terms;
        2. If you breach any of these terms in any way;
        3. If you use the software or your projects in any way which, in our reasonable opinion, is in breach of these terms;
        4. If a third party threatens to start legal proceedings against us unless we prevent the use of the software in connection with one or more of your projects;
        5. If you challenge or dispute the subsistence or validity of any title, right, or interest to or in the software or your data which are retained by us (or the persons who have licensed any parts of the software to us).
      20. We may also, at our absolute discretion, close your software account and prevent your use of the software or your access to our Website without giving any reason or warning.
      21. General terms
      22. We may analyse your use of the software for our own business purposes.
      23. We may use your name and trademarks in our marketing materials to identify you as a user of the software.
      24. We may freely assign the benefit of your agreement with us.
      25. If these terms require you not to do something, you must not attempt or allow, assist or encourage any other person to do it either.
      26. These written terms, and any which have to be treated as being included by virtue of the Consumer Protection Act, form the whole agreement you have with us, and you confirm and warrant that, apart from any trial of the software you may have had, you have not relied on anything else when deciding to enter into that agreement.
      27. Our acceptance of your license fee, and our permitting you and your users to use the software, will not prevent us from exercising any right or remedy we may have in respect of your breach of these terms even if we are aware of it at the time, and you agree not to claim that it does.
      28. Except where they state otherwise, these terms do not give anyone other than you and us (or our successor in title) any right to enforce them and neither you nor we need any third party's consent before terminating the agreement you have with us.
      29. We may change these terms at any time to the extent required in order to comply with any law, regulation or court order without your or any third party's agreement. We will inform you of any such changes, after which both you and we will be legally bound by them.
      30. We may change these terms at any time, without giving any reason, without your or any third party's agreement. We will inform you of any such changes, after which both you and we will be legally bound by them unless you end your subscription within 7 days. If you do end your subscription within 7 days, we will refund any monies you have paid in respect of the remainder of the period for which you have paid, calculated proportionately according to the number of days remaining.
      31. Every aspect of your agreement with us (including its formation and effect) is governed by New Zealand law and the New Zealand courts have exclusive jurisdiction over any contractual or other dispute relating to, or arising out of, the agreement, the software or your use of it. As an exception, you or we may apply to any court which would otherwise have jurisdiction for an injunction (or an equivalent or similar order) to restrain the other from infringing its rights or breaching the agreement
    4. ENTIRE AGREEMENT

      5.
